Terms of Service
Last updated: 28 October 2026
Official Policy Document. This policy outlines how PAYLYHR collects, verifies, and cryptographically protects attendance and operational workforce records.
Executive Summary
You pay per member of staff, per month. Your data stays yours and you can take it with you. If a subscription bill is late, attendance capture and company changes pause immediately while records remain available to read and the owner can top up.
1. Who these terms are between
These terms are between PAYLYHR and the company that has signed up to use it (“you”). They cover the software, the phone and tablet check-in tools, and the office screens.
Your staff and your clients are not party to these terms. Your relationship with them is yours to manage — see section 5.
2. What the service does
PAYLYHR records where and when your staff signed in and out, checks each sign-in against the workplace location and the method you chose, and keeps the result in a sealed record that cannot be edited afterwards. Depending on your plan it also calculates pay and produces invoices.
What it does not do: it does not decide who is telling the truth. It produces evidence and flags what looks wrong. Every decision that affects someone's pay is left to a person at your company.
3. Accounts
- We create your company's first account. Your owner then invites everyone else.
- Give each person the smallest role that lets them do their job.
- You are responsible for what is done under your accounts. Tell us promptly if you think one has been misused.
- Device keys are shown once and stored only as a hash. If one is lost, switch that device off and set it up again.
4. What you pay
- Charges are per member of staff, per month, at the rate shown on your plan.
- Only staff who actually worked a shift are counted. We deliberately do not charge per sign-in — that would give you a reason to record less, and the records are the entire product.
- Each plan has a minimum number of staff. If you are smaller than that minimum you still pay for it.
- A plan change takes effect immediately and is reflected on your next bill.
- Prices can change. We will tell you before a change affects you.
If a bill goes unpaid
Checking staff in and out never stops. What pauses is payroll and invoicing. Locking a company out of its own attendance record over an unpaid invoice would destroy the very thing its payroll depends on, so we do not do it.
5. Your responsibilities — read this one
These are the obligations that most often get overlooked, and they are yours, not ours.
Telling your staff
You must tell the people being recorded what is collected and why, before you start. Our Privacy Policy describes what the software records and you may share it with them.
Face checks and photographs
If you switch on face checks, you must obtain each worker's clear, written and freely given consent first, and offer a workable alternative to anyone who declines. Biometric data is sensitive under the Nigeria Data Protection Act. Consent that is a condition of being paid is not freely given.
Deductions from pay
If you use the penalty features to deduct money from wages, the scheme must already be agreed in writing with the worker — normally in the employment contract or staff handbook. In most places, including Nigeria, deductions from wages are restricted to those the worker agreed to in advance. Deductions made without that agreement can be challenged and repaid, and that is your exposure, not ours.
Accuracy
Site locations, fence sizes, working patterns and pay rates are entered by you. The system calculates faithfully from what it is given. If a fence is drawn in the wrong place, honest staff will be flagged.
Misuse, violations and review
Do not share PINs, device keys, invitation links or support access codes; bypass or probe security controls; submit fabricated attendance; use fake-location tools; replay tags or requests; upload unlawful material; or use the service to discriminate, harass, defraud or avoid employment, payroll or data-protection obligations. We may record a suspected violation, limit the affected account or device, require human review, suspend access, or close the account where the evidence and applicable law justify it.
Automatic signals are not a final finding. A worker-related attendance signal may create a pending penalty for the employer's review, but wages are not automatically deducted merely because the system raised a security signal. You remain responsible for lawful written penalty rules, notice, evidence, appeal and payment decisions.
Using the assistant
Do not enter staff names, account numbers, phone numbers, addresses, health information, photographs or other personal details into the assistant. Its questions and operational briefing are sent to the configured external AI provider to answer the request.
6. Who owns what
- Your data is yours. Attendance records, staff details, sites, rates and invoices belong to you. We hold them on your behalf.
- The software is ours. You are licensed to use it while your account is active. Do not copy it, resell access to it, or attempt to extract its source.
- We may report on anonymous, aggregated usage — never anything identifying you, your staff or your clients.
7. What we promise, and what we do not
We will run the service with reasonable care and skill, keep it reasonably available, and tell you in advance about planned downtime where we can.
We do not promise:
- That the service will never be interrupted. No software is.
- That evidence produced by the system will win a particular dispute. It records what happened and shows how strong the proof is. Whether that settles an argument is not ours to guarantee.
- That every dishonest act will be caught. The system detects faked locations, cloned tags and altered clocks, but two people determined to collude can defeat any attendance system, and this one is no exception.
Nothing here is legal advice. Employment law, data protection and payroll rules are yours to comply with. Take your own advice.
8. If something goes wrong
Where we are liable, our total liability in any twelve-month period is limited to what you paid us in that period. We are not liable for lost profits, lost business, or a dispute you lose with a client or a worker.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
9. Ending it
- You can stop at any time. You pay for the period you have used.
- You can take your data with you. Ask before you leave and we will provide it in a readable format.
- We may suspend an account for non-payment — subject to section 4, which keeps attendance capture running — or immediately where the service is being used unlawfully.
- After an account closes we keep the data for a reasonable period so it can still be recovered, then delete it.
10. Privacy and data protection
The Privacy Policy explains the categories of personal data, processing purposes, third parties, security controls, retention and rights that apply to the service. You must give workers the required notice, obtain any consent required by law for face or other sensitive processing, maintain a lawful retention schedule, and respond to worker access, correction, objection and deletion requests.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute.
